Terms of Service
Effective date: August 9, 2025
These Terms of Service (“Terms”) govern your access to and use of Clevora.ca (“Clevora”, “we”, “us”). By using our website or engaging us for services, you agree to these Terms.
1) Who we are
Clevora provides IT and cybersecurity consulting and related services to businesses in Canada.
2) Using our site & contacting us
- You must provide accurate information when submitting forms or booking calls.
- Don’t misuse the site (no scraping, probing, disrupting, or illegal activity).
- Third-party links/tools may be provided; we’re not responsible for their content or actions.
3) Proposals, SOWs & changes
Projects are governed by a written quote, proposal, or statement of work (“SOW”). If these Terms conflict with an SOW signed by both parties, the SOW controls for that project. Scope changes may affect timeline and price.
4) Fees, billing & taxes
- Fees are as stated in our quote/SOW. Unless stated otherwise, applicable taxes are extra.
- Invoices are due on receipt (or as specified in the SOW). Late amounts may incur interest at the lesser of 1.5% per month or the maximum permitted by law.
- We may pause work for overdue accounts.
5) Your responsibilities
- Provide timely access to systems, information, and personnel needed to perform services.
- Maintain proper licenses for your software and services.
- Back up your data unless our SOW expressly includes managed backups.
6) Confidentiality & data
Each party must protect the other’s confidential information and use it only for the project. We handle personal information in accordance with our Privacy Policy.
7) Health sector (PHIPA)
If you are a health information custodian or we handle personal health information as part of services, we will do so in compliance with applicable law (including PHIPA) and any data protection terms in our SOW or a separate data processing agreement on request.
8) Intellectual property
- You own your pre-existing materials and data.
- Unless the SOW states otherwise, upon full payment you get a worldwide, non-exclusive license to use deliverables we create for you for your internal business. We retain ownership of our underlying tools, know-how, templates, and pre-existing IP.
9) No legal, medical, or compliance advice
Our deliverables and recommendations are for general IT/cyber guidance. They are not legal, regulatory, accounting, or medical advice.
10) Warranties & disclaimers
- We will perform services with reasonable skill and care.
- Except as expressly set out, the site and services are provided “as is” and “as available”. We disclaim all other warranties (including merchantability, fitness for a particular purpose, and non-infringement) to the extent permitted by law.
- No system can be 100% secure; we cannot guarantee prevention of all incidents.
11) Liability cap
To the extent permitted by law, our total liability arising out of or related to the site or any services is limited to the fees you paid to us for the specific services giving rise to the claim in the 6 months before the event. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, or business interruption.
12) Indemnity
You agree to indemnify and hold Clevora harmless from third-party claims arising from your misuse of the site or services, or your breach of these Terms, except to the extent caused by our negligence or willful misconduct.
13) Suspension & termination
- We may suspend or end site access for misuse or to protect security/integrity.
- Either party may terminate a project for material breach not cured within 10 days of notice.
- On termination, you pay for work performed and approved expenses to date.
14) Changes to the site or Terms
We may update the site or these Terms from time to time. The “Effective date” shows the latest version. Continued use means you accept changes.
15) Governing law & disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. Courts located in Ottawa, Ontario will have exclusive jurisdiction, except either party may seek injunctive relief in any competent court.
